Allstate Insurance Company has filed allegations against Broadcom, claiming the technology company initiated audits in retaliation for Allstate’s decision to terminate its business relationships with VMware and CA Technologies. The disputes stem from a lawsuit filed by VMware against Allstate in December 2025, in which Broadcom alleged that Allstate failed to comply with required license audits.
According to Allstate’s June 12 filing, the company contends that Broadcom issued the audits after learning of Allstate’s intention not to renew its contracts with the two companies. Allstate’s legal response states that the audit was “haphazard” and issued in response to the company’s business decision. The insurance firm maintains that it substantially and in good faith complied with audit and reporting requirements under its existing VMware contract.
According to VMware’s complaint, the company issued a formal audit notice to Allstate in March 2025. VMware claims that despite Allstate acknowledging receipt of audit materials in May 2025, the company withheld requested documentation. The complaint indicates that by September 2025, Allstate informed VMware’s consultant that it had removed VMware from all devices and could no longer execute audit scripts. In October 2025, Allstate stated that all VMware instances had been terminated from its environment.
Allstate is one of several major enterprises that have moved away from or plan to transition from VMware following Broadcom’s acquisition of the company. Other large organizations reportedly making similar moves include T-Mobile, Tesco, and Western Union. Additionally, Broadcom has filed a separate lawsuit against Allstate through CA Technologies, alleging copyright infringement and breach of contract related to the sale of Allstate’s Employer Voluntary Benefits business and associated Symantec products to StanCorp Financial Group.
Both cases have a deadline of May 17, 2027, for parties to file dispositive motions. Broadcom declined to comment on the matters, while Allstate has not disclosed details about its current virtualization technology or the extent of its former VMware reliance.
