TalkTalk announced on Friday that it is in advanced stages of completing sales of its consumer business and wholesale operation PXC to preserve approximately 900 jobs. The UK’s fourth-largest broadband provider has experienced significant decline since its 2019 peak, when customer numbers stood at 4 million, dropping to approximately 1.5 million currently. Founded in 2003 by Charles Dunstone as a Carphone Warehouse subsidiary before being demerged and listed on the London Stock Exchange in 2010, the company has struggled in a highly competitive market. At its height in 2015, TalkTalk’s market value reached nearly £4.8bn, but the business faced difficulties competing with larger rivals at the budget segment of the market.

Analysts expressed confidence that a transition under Opus would likely proceed smoothly for customers, with particular attention expected from regulator Ofcom regarding vulnerable subscribers, of which approximately 250,000 are among TalkTalk’s base. PXC’s operations with the Ministry of Defence are expected to continue uninterrupted through existing arrangements with third-party resellers, with regulatory provisions ensuring alternative telecoms providers maintain service continuity.

Completion of the discounted sales would require TalkTalk’s owners to write down approximately £1bn in debt. Dunstone and major shareholders, including private credit firm Ares Management, retain the option to inject additional capital to retain control if transaction negotiations stall. Over the previous two years, shareholders have already provided £350m in emergency funding. Dunstone undertook a £1.1bn privatization deal with Toscafund Asset Management in 2021 that contributed to the company’s current debt burden, while Ares now exercises effective control as the lead lender.
