
BT announced an agreement to purchase TalkTalk and its wholesale division PlatformX Communications (PXC) for £400m on a debt-free basis, positioning the deal as a rescue for the troubled broadband provider. Virgon Media O2, which had also pursued acquiring TalkTalk, expressed strong objection to the deal, characterizing it as a “stitch-up” that would further consolidate BT’s already dominant market position. The company raised concerns that the acquisition would allow BT to strengthen its control over the market at a time when regulators had cited substantial concerns about other consolidation proposals in the sector.
BT reported that the £400m cost includes transaction expenses, administration fees, working capital requirements, £60m in projected trading losses, and £100m in uncollected Openreach revenue. The company expects to record this cash impact in its current financial year. TalkTalk, which was taken private in 2021 through a £1.1bn transaction, has experienced significant contraction in its customer base, declining from 4 million retail customers in 2019 to approximately 1.5 million currently. Both companies will operate separately and continue competing until regulatory approval is finalized, BT stated.
