Poundland, the UK and Irish discount retailer, has filed a notice of intention to appoint administrators, a move that would provide a 10-day window to pursue a rescue deal before potential insolvency proceedings. The chain, which operates approximately 600 stores and employs around 12,000 people, has been struggling financially despite recently showing signs of recovery in sales.
The situation stems from decisions made by Gordon Brothers, the American owner that acquired Poundland from Polish retail group Pepco last year for a nominal £1. Gordon Brothers restricted the chain’s access to funding and rejected a bid from Irish firm Martin Property Group (MPG) that had been positioned as the preferred option by Poundland’s management team. Gordon Brothers is reportedly seeking to recoup a £30m shareholder loan it inherited from previous ownership, and MPG’s offer fell short of that target, with the firm reportedly unwilling to pay the full amount upfront.
Poundland’s managing director Barry Williams communicated the situation to staff through an internal memo, expressing disappointment and characterizing the circumstances as unexpected and avoidable. Williams emphasized that the business was demonstrating strong sales and recovery progress, stating it did not warrant insolvency proceedings. Three independent directors appointed earlier to oversee a sale process resigned immediately in disagreement with Gordon Brothers’ rejection of MPG’s solvent offer.
Should administrators be appointed following High Court approval, Gordon Brothers could pursue alternative strategies including finding a different buyer for the entire business or breaking up the company to sell store portfolios to interested retailers such as Iceland, Lidl, and B&M. Gordon Brothers indicated it is evaluating multiple active bids and has received formal and indicative offers for significant portions of the business from established retail operators. AlixPartners has been lined up as the potential administrator, though the firm declined to comment.
